Preamble
This instrument governs the use of the website located at cashflowpositive.ai, of any platform or dashboard furnished by Black Swan Ventures Group LLC (the "Company"), and of any artificial intelligence or automation system built by the Company for a client. It forms part of the Terms of Service. Breach may occasion immediate suspension or termination without refund.
1. General Conduct
A User shall not:
- (a) employ the Services for any unlawful purpose, or in contravention of any applicable law or regulation;
- (b) infringe any intellectual property, privacy, publicity, or contractual right;
- (c) misrepresent identity, authority, or affiliation;
- (d) harass, threaten, defame, or discriminate against any person;
- (e) upload malicious code, or attempt to interfere with, disrupt, probe, scan, or overload the systems of the Company or of its providers;
- (f) circumvent authentication, rate limiting, paywalls, or access controls;
- (g) scrape, crawl, or extract content in bulk from the Website save as permitted by the Company's robots directives;
- (h) employ any content published by the Company for the training, fine-tuning, or evaluation of any machine learning model, the Company having expressly reserved its rights in that regard; or
- (i) resell, sublicense, or white-label the Company Materials save where an Order Form expressly confers such right.
2. Systems Delivered to a Client
2.1 Where the Company delivers an outreach, automation, or artificial intelligence system, the client is responsible for the manner of its use following handover. The client shall not employ such a system:
- (a) to despatch unsolicited commercial electronic mail in contravention of the CAN-SPAM Act, of Directive 2002/58/EC, or of § 7 of the German Act against Unfair Competition;
- (b) to place telephone calls in contravention of the Telephone Consumer Protection Act, of any State telemarketing statute, or of any applicable do-not-call register;
- (c) to record calls otherwise than upon the announcement and consent required in every jurisdiction concerned;
- (d) to despatch communications bearing falsified sender identity, header, or domain information;
- (e) to disregard any objection, or without maintaining a suppression register;
- (f) to contact any natural person in respect of whose personal data the client has no lawful basis of processing; or
- (g) at volumes or in a manner contravening the terms of any third-party platform.
2.2 The Company supplies the system. The client supplies the lawful basis, the posture as to consent, and the discipline of operation. The Company shall advise upon compliant configuration when asked, and shall decline to build any system the only viable use of which is unlawful.
3. Artificial Intelligence
3.1 A client shall not employ any artificial intelligence system delivered by the Company:
- (a) to generate content deceptive as to its origin, including by impersonating a real natural person or organisation;
- (b) to produce synthetic audio or video depicting a real natural person absent that person's consent, or absent the labelling required by Article 50 of Regulation (EU) 2024/1689;
- (c) to take automated decisions producing legal effects, or effects of similar significance, concerning natural persons without meaningful review by a natural person;
- (d) to process special categories of personal data, regulated health or financial records, biometric data, or export-controlled material, save where an Order Form expressly so provides and appropriate safeguards subsist;
- (e) to generate content which is unlawful, which facilitates harm, or which a reasonable operator would recognise as abusive; or
- (f) to present output as verified fact without review by a natural person.
3.2 Prohibited high-risk deployment. A client shall not deploy any system built by the Company for the purposes of automated employment screening, assessment of creditworthiness, insurance underwriting, access to education, or access to essential services, without having independently assessed its obligations under Regulation (EU) 2024/1689 and every cognate law. Such purposes are classified as high-risk and carry obligations which the Company has not assumed on the client's behalf.
4. Data Submitted
4.1 A client warrants that it is entitled to furnish any data it submits, and that a lawful basis subsists for the Company's processing thereof.
4.2 A client shall not submit:
- (a) personal data collected without lawful basis;
- (b) data subject to obligations the Company has not accepted in writing, including health records regulated under the Health Insurance Portability and Accountability Act, cardholder data within the Payment Card Industry Data Security Standard, and classified or export-controlled information; or
- (c) credentials belonging to third parties absent their authorisation.
5. Content Submitted or Published
Where the Services permit submission of content, applications, testimonials, comments, or materials, such content shall be truthful, shall be the submitter's to submit, and shall be neither unlawful, infringing, deceptive, nor abusive. The Company may remove content in breach of this instrument without notice.
6. Security Research
Good-faith security research is welcomed upon the terms set out at clause 8 of the Cybersecurity Disclosure. Testing outside those rules of engagement constitutes a breach of this instrument.
7. Reporting
Suspected misuse is to be reported to mgmt@blackswanventuresgroup.com, the subject line being prefixed with the word ABUSE. The Company shall acknowledge within two business days.
8. Enforcement
8.1 The Company may investigate any suspected breach and may, in its discretion: issue a warning; remove content; suspend or terminate access; report the matter to law enforcement or to a regulator; and pursue every remedy available at law or in equity.
8.2 No refund is owed in respect of any suspension or termination arising from a breach of this instrument.
