Refund, Cancellation & Withdrawal Policy

Preamble

This instrument governs cancellation, refund, and withdrawal in respect of services supplied by Black Swan Ventures Group LLC (the "Company"). It forms part of the Terms of Service and is to be read together with the AI Concierge Programme Terms and the RiskReverse Guarantee.

Part A, Business Customers

This Part applies where the customer procures a service in the capacity of an undertaking, an organisation, or a natural person acting in the course of a trade, business, craft, or profession. This is the ordinary case. Statutory rights of withdrawal conferred upon consumers do not apply to such procurement.

A1. The AI Concierge, Founding Cohort

No fee being payable, no question of refund arises. Either party may bring the engagement to an end at any time in accordance with clause 12 of the AI Concierge Programme Terms.

A2. The AI Concierge, Continuing Programme

Participation fees payable under clause 4 of the AI Concierge Programme Terms are governed by clause A4 of this Part, the build being treated as a fixed-scope engagement.

A3. Workshops, Courses, and Events

Costs of travel and accommodation are in no circumstances refundable by the Company.

A4. Fixed-Scope Engagements, Pilots, and Builds

A4.1 Deposits and mobilisation fees are non-refundable once work has commenced, such sums being referable to scoping, tooling, and the reservation of delivery capacity.

A4.2 Prior to commencement, a deposit is refundable less an administrative charge of [CONFIRM: percentage, 10% suggested].

A4.3 Following commencement, cancellation obliges the customer to pay for work performed to the date of cancellation together with every third-party cost committed. Any balance shall be refunded within thirty days.

A4.4 Where an engagement carries the RiskReverse Guarantee, that instrument governs performance-related remedies and constitutes the exclusive remedy in that respect.

A5. Retainers and Continuing Services

A5.1 Retainers subsist for the minimum term recorded in the Order Form and renew automatically for successive terms of like duration, save where cancelled.

A5.2 Notice of cancellation must be given not less than [CONFIRM: period, 30 days suggested] prior to the expiry of the then-current term.

A5.3 Fees in respect of the then-current term are non-refundable. Cancellation takes effect upon the expiry of that term.

A5.4 The Company may terminate upon seven days' notice for non-payment, and forthwith for breach of the Acceptable Use Policy.

A6. Manner of Cancellation

Notice of cancellation is to be given in writing to mgmt@blackswanventuresgroup.com, the subject line being prefixed with the word CANCELLATION, stating the customer's name, the engagement reference, and the date from which cancellation is to take effect. The Company shall confirm receipt within three business days.

A7. Chargebacks

The customer shall raise any dispute with the Company before initiating a chargeback. A chargeback initiated without prior recourse to the Company may result in the immediate suspension of services and in the recovery of the disputed sum together with reasonable costs.

Part B: Consumers within the European Union, the United Kingdom, and the European Economic Area

This Part applies only where the customer procures a service as a consumer, being a natural person acting for purposes outside that person's trade, business, craft, or profession. It is included because certain offerings may occasionally be so procured and because the statutory right cannot be excluded by agreement.

B1. Right of Withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period expires fourteen days from the day of conclusion of the contract in the case of services and of digital content, and fourteen days from the day upon which you or a third party indicated by you takes physical possession of the goods in the case of goods.

To exercise the right of withdrawal, you must inform us by an unequivocal statement, by post or by electronic mail, or by means of the model form set out at clause B4, of your decision to withdraw from the contract. To meet the withdrawal deadline it is sufficient that you send your communication concerning the exercise of the right before the withdrawal period has expired.

B2. Effects of Withdrawal

Where you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (save for the supplementary costs arising where you chose a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day upon which we are informed of your decision to withdraw. We shall carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in no event will you incur any fee as a result of such reimbursement.

B3. Commencement Within the Withdrawal Period and Lapse of the Right

B3.1 Where you have requested that the performance of services commence during the withdrawal period, you shall pay us an amount which is in proportion to what has been performed until you have communicated your withdrawal, in comparison with the full coverage of the contract.

B3.2 The right of withdrawal lapses in respect of a contract for the supply of services once the service has been fully performed, where performance began with your prior express consent and with your acknowledgement that you would lose your right of withdrawal upon full performance.

B3.3 The right of withdrawal lapses in respect of digital content not supplied on a tangible medium once supply has begun, where supply began with your prior express consent and with your acknowledgement that the right would thereby be lost.

B3.4 The Company obtains both acknowledgements expressly, by discrete checkbox, at the point of purchase.

Part C, Consumers within the United States

The law of certain States confers additional rights, including rights of cancellation within three days in respect of particular classes of contract. Where any such right applies, it prevails over this instrument. Residents of California may additionally enjoy rights under § 1789.3 of the California Civil Code.

How This Interacts With RiskReverse

If your engagement includes a RiskReverse cashback guarantee, the terms of that specific guarantee (extension period before refund eligibility, qualifying conditions, and payout timeline) govern in place of the general refund window described above. Where RiskReverse terms are silent on a given scenario, the general policy on this page applies. RiskReverse terms are provided in writing at the time of purchase.
